Terms of Service

By accessing or using PrismSEO ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and anyone who accesses or uses the Service.

PrismSEO is a software-as-a-service (SaaS) platform that connects to your Google Search Console account to surface keyword gap opportunities, generate SEO-optimised articles, and provide analytics. The Service uses AI to generate content, which you review and publish at your discretion.

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information when registering.
• One person or legal entity may not maintain more than one free account.

• Paid plans are billed monthly or annually in advance.
• Payments are processed by Polar. By subscribing, you also agree to Polar's terms.
• All fees are exclusive of applicable taxes. You are responsible for any taxes.
• Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time from your account settings.
• We do not offer refunds for partial billing periods, except where required by applicable law.
• We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Use automated tools to scrape, crawl, or extract data from the Service beyond what the API allows.
• Resell or white-label the Service without our written consent.
• Use the Service to generate spam, malware, or content designed to deceive end users.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Interfere with or disrupt the integrity or performance of the Service.

The Service connects to your Google Search Console account via OAuth. By authorising this connection, you permit PrismSEO to read your GSC property data (clicks, impressions, CTR, position, queries, pages) for the purposes of providing the Service. We do not share your GSC data with third parties beyond what is necessary to operate the Service (e.g. AI providers processing anonymised prompts).

You can revoke this access at any time from your Google account settings at myaccount.google.com/permissions.

The Service uses large language models to generate article drafts and content suggestions. You acknowledge that:

• AI-generated content may contain inaccuracies, and you are solely responsible for reviewing it before publication.
• We make no warranty regarding the accuracy, completeness, or fitness for purpose of AI-generated content.
• You own the content you generate using the Service, subject to the underlying AI provider's terms.

The Service, its design, code, and non-user-generated content are owned by PrismSEO and protected by intellectual property law. You may not use our trademarks, logos, or branding without prior written permission.

You retain ownership of your data and any content you create using the Service. By using the Service, you grant us a limited licence to process your data solely to provide the Service.

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Service integrates with third-party services including Google (Search Console OAuth), OpenAI (content generation), DataForSEO (keyword data), Resend (email), and Polar (payments). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices of any third-party service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRISMSEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless PrismSEO and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your account at any time, with or without cause, with reasonable notice where practicable. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time from your account settings.

Sections 7, 8, 11, 12, 13, and 16 survive termination.

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice. Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you disagree, you may cancel your account before the changes take effect.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of India.
